These Terms of Service (“Terms”) govern your access to and use of the software, websites, and services provided by Lenavio, Inc. (“Lenavio”, “we”, or “us”). By creating an account or using our services, you agree to be bound by these Terms on behalf of yourself and the organization you represent.
1. The Service
Lenavio provides a cloud-based human resources platform including, without limitation, employee records, time and absence management, case management, recruiting, time tracking, invoicing, reporting, and AI-assisted workflows (the “Service”). We may update or modify the Service from time to time; we will not materially degrade the functionality available to paid customers without reasonable notice.
2. Accounts and Authority
To use the Service you must create an account. You represent that you have authority to bind your organization and that the information you provide is accurate. You are responsible for safeguarding account credentials and for all activity that occurs under your account.
3. Your Data
You retain all right, title, and interest in and to the data you upload, generate, or otherwise submit to the Service (“Customer Data”). You grant Lenavio a non-exclusive, worldwide license to process Customer Data solely as necessary to provide, secure, and improve the Service, and subject to our Privacy Policy and Data Processing Agreement.
4. Acceptable Use
You agree not to, and will not permit any user to:
- violate applicable law or the rights of any third party;
- upload content that is unlawful, defamatory, infringing, or intentionally harmful;
- probe, scan, or test the vulnerability of the Service without written authorization;
- reverse engineer, decompile, or resell the Service except as expressly permitted;
- use the Service to build a competing product.
5. Fees
Paid plans are billed per seat, per month, in the currency stated on your order form or in the checkout flow. Fees are non-refundable except where required by law. We may change list prices with at least thirty (30) days' notice; changes will not affect your current committed term.
6. Trial
Free trial accounts are provided “as-is” with no warranties and may be limited, suspended, or terminated at any time. No credit card is required to begin a trial.
7. Term and Termination
These Terms continue while you use the Service. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. On termination, access is suspended and, after a thirty (30) day retrieval window, Customer Data is deleted in accordance with our retention policy.
8. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses to protect its own, and in no event less than reasonable care.
9. Warranties and Disclaimers
We warrant that the Service will perform materially in accordance with the documentation. EXCEPT AS EXPRESSLY SET FORTH, THE SERVICE IS PROVIDED “AS IS,” AND WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID OR PAYABLE FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Indemnification
Lenavio will defend you against third-party claims that the Service infringes a U.S. patent, copyright, or trademark, subject to customary carve-outs. You will defend us against claims arising from Customer Data or your use of the Service in violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. The exclusive venue for disputes is the state or federal courts located in Wilmington, Delaware.
13. Changes
We may update these Terms. Material changes will be posted here with a new “Last updated” date and, where practicable, notified by email or in-product notice.
